1. Introduction and Acceptance of Terms

1.1. These Terms and Conditions (“Terms”) govern your access to and use of the SportHawk website located at https://www.sporthawkapp.com (the "Website") and the SportHawk mobile application (the "App"). The Website and the App are collectively referred to as the "Services".

1.2. The Services are owned and operated by SportHawk Limited, a company registered in England and Wales under company number 15580908, with its registered office at 11 Yelland Road, Fremington, Barnstaple, England, EX31 3BX ("we", "us", "our").

1.3. Binding Agreement: By accessing the Website, downloading the App, creating an account, or using any part of the Services, you confirm that you accept these Terms and our Privacy Policy and agree to comply with them. If you do not agree, you must not use our Services.

1.4. Age Restriction: You must be 16 years of age or older to create an account and use this App. By creating an account, you warrant that you are 16 or older.

2. Account Creation and Security

2.1. To use certain features of the Services, primarily within the App, you must create an account by providing accurate and complete information as prompted, including your full name, email address, and date of birth.

2.2. You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You must notify us immediately at support@sporthawkapp.com of any suspected unauthorised use of your account.

3. Licence and Acceptable Use

3.1. Licence Grant: We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your personal, non-commercial use, subject to these Terms.

3.2. Acceptable Use: You agree to use the Services only for lawful purposes. You must not:

a) Use the Services in any way that is fraudulent, unlawful, or harmful to us or any third party.

b) Knowingly introduce viruses, trojans, worms, or other material that is malicious or technologically harmful.

c) Attempt to gain unauthorised access to our servers, systems, or any database connected to our Services.

d) Decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code of the App or any part of the Services.

e) Copy, reproduce, distribute, or create derivative works from our Content (as defined in Clause 4) without our express prior written consent.

4. Intellectual Property Rights

4.1. All content and materials included in the Services, including but not limited to the App's software, text, graphics, logos, and images (our "Content"), are the property of SportHawk Limited or our licensors and are protected by copyright and other intellectual property laws.

5. User-Generated Content (UGC)

5.1. You may be able to create, post, or upload content to the App, including profile information, text, pictures, and comments ("User-Generated Content" or "UGC").

5.2. You are solely responsible for your UGC. By posting UGC, you represent and warrant that you have the right to do so and that it complies with our Content Standards (Clause 5.4).

5.3. Licence Grant to Us: By creating UGC, you grant SportHawk Limited a worldwide, non-exclusive, royalty-free, transferable licence to use, reproduce, distribute, prepare derivative works of, display, and perform that UGC in connection with providing and promoting the Services.

5.4. Content Standards: Your UGC must not:

a) Contain any material that is illegal, defamatory, threatening, obscene, abusive, hateful, or racially or ethnically offensive.

b) Promote violence or discrimination.

c) Infringe on the copyright, trademark, or other intellectual property rights of any third party.

d) Contain any sexually suggestive or explicit material.

e) Violate the privacy of any third party.

5.5. We reserve the right, but not the obligation, to monitor and remove any UGC that we, in our sole discretion, deem to be in violation of these Terms.

6. Subscriptions and Payments (App)

6.1. The App includes functionality that allows users to make subscription payments to sports clubs. We act as a platform to facilitate these transactions.

6.2. Payment Processor: We use a third-party payment processor, Stripe, to handle all transactions. Your use of the payment service is subject to Stripe's own terms and conditions.

6.3. Service Fee: For providing this platform service, SportHawk Limited takes a fee or commission on each transaction processed through the App (the "Fee").

6.4. Refund Policy: Our Fee is for the provision of the platform service and is non-refundable. Any request for a refund of a subscription payment must be directed to the respective sports club. Your subscription is an agreement between you and the sports club, and their cancellation and refund policies apply.

7. Third-Party Links

7.1. The Services may contain links to third-party websites or services (e.g., app stores, club websites). We have no control over the content or policies of these third parties and accept no responsibility for them.

8. Account Termination

8.1. Termination by You: You may request to terminate your account at any time by emailing privacy@sporthawkapp.com.

8.2. Termination by Us: We reserve the right to suspend or terminate your account and access to the Services, without notice, if we believe you have breached any of these Terms.

8.3. Effect of Termination: Upon termination, your right to use the Services will cease immediately. In accordance with our Privacy Policy, your personal data will be deleted within 90 days of an account termination request, unless we are required to retain it for legal or accounting purposes.

9. Privacy and Data Protection

9.1. We are committed to protecting your privacy. Our collection and use of your personal data is detailed in our Privacy Policy, which is incorporated into these Terms by reference. You must read and agree to the Privacy Policy to use our Services.

10. Disclaimers and Limitation of Liability

10.1. The Services are provided on an "as is" and "as available" basis. We do not warrant that the Services will be uninterrupted, error-free, or free of viruses.

10.2. We act as a platform and are not responsible for the conduct, actions, or content of any user or sports club. We are not a party to any agreement made between you and a sports club.

10.3. To the fullest extent permitted by law, we exclude liability for any indirect or consequential loss or damage. Our total aggregate liability to you in connection with any claim arising out of or relating to the Services shall be limited to the total amount of Fees paid by you to us in the 12 months immediately preceding the date of the claim.

11. Changes to These Terms

11.1. We reserve the right to modify these Terms at any time. Any changes will be posted on the Website and within the App with an updated effective date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

12. Governing Law and Dispute Resolution

12.1. These Terms are governed by and construed in accordance with English law.

12.2. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
